Acceptance of Terms

By accessing the forxya.io website or using the FORXYA platform on any of its versions (iOS, Android, or Web), you agree to these Terms of Service in their entirety and are bound by all of their provisions. If you do not agree with any part of these terms, please do not use our services. Continued use of the platform constitutes a renewal of your acceptance of the terms in effect at any given time. These terms apply to both individual users and organizations that contract the service.

Service Description

FORXYA is a comprehensive platform for digitizing operations that includes: field data collection through dynamic forms with over 30 field types; workflow automation with conditional transitions and automatic assignments; real-time GPS tracking with geofencing; offline-first mode with automatic synchronization; granular role-based access control (RBAC) at the form, field, and record level; report generation and analytics dashboards; field-level audit trail; artificial intelligence processing (OCR, audio transcription, entity recognition); and task management with assignment rules. The platform is available on iOS, Android, and Web with real-time synchronization across all platforms.

User Accounts

Users are responsible for maintaining the confidentiality and security of their access credentials, including passwords and authentication tokens. You must provide accurate, complete, and up-to-date information when registering and keep it current. Organization administrators are additionally responsible for managing the roles and permissions of their team members, ensuring that users under their administration comply with these terms, and revoking access promptly when a member leaves the organization. You must notify us immediately of any unauthorized access to your account or any security breach.

Acceptable Use

You agree not to use FORXYA for illegal, fraudulent, or rights-infringing activities. The following are expressly prohibited: attempting unauthorized access to systems, data, or accounts of other users or organizations; collecting personal data from third parties without their consent or in violation of applicable data protection laws; using the platform to store or transmit malicious, defamatory content or content that violates intellectual property rights; reverse engineering, decompiling, or attempting to extract the source code of the platform; interfering with the normal operation of the platform or intentionally overloading systems; and sharing access credentials among multiple people or creating fake accounts.

Data Ownership

Users and their organizations retain full and exclusive ownership of all data they create, upload, or generate on the platform, including forms, captures, attachments, workflow configurations, and reports. FORXYA processes this data exclusively to provide the contracted service. Each organization's data is cryptographically protected at rest and in transit, and isolated through record-level access controls that guarantee zero cross-access among organizations or by FORXYA personnel without explicit and auditable authorization. Upon service termination, the organization may export its complete database in standard formats (CSV, Excel, JSON) within 30 days. After this period, the data and its backups are permanently deleted from our infrastructure.

Intellectual Property

The FORXYA platform, its design, source code, branding, and content are the exclusive property of FORXYA. Users may not copy, modify, distribute, or create derivative works from any component of the platform without prior written authorization.

Limitation of Liability

FORXYA is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. FORXYA shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the platform, including loss of data, loss of profits, or business interruption. FORXYA's maximum aggregate liability for any claim related to the service shall be limited to the total amount of fees paid by the user during the 12 months preceding the event giving rise to the claim. This limitation applies regardless of the legal basis of the claim.

Termination

Either party may terminate the service relationship by providing written notice at least 30 days in advance. FORXYA reserves the right to immediately suspend or cancel accounts that violate these terms, pose a security risk, or are used for illegal activities. Upon termination, the user will have a period of 30 calendar days to request a complete export of their data in standard formats. FORXYA will provide reasonable assistance during the migration process. After the export period and upon user confirmation, all data will be permanently deleted from our systems, except for audit records that the law requires to be retained.

Service Availability

FORXYA strives to maintain high service availability but does not guarantee 100% uninterrupted operation. Planned maintenance outages may occur and will be communicated at least 48 hours in advance through established communication channels. FORXYA's offline-first architecture ensures that field teams can continue collecting data without connectivity, minimizing the impact of any service interruption. FORXYA shall not be liable for interruptions caused by factors outside its control, including third-party infrastructure failures, natural disasters, or cyberattacks.

Offline Mode

Data collected in offline mode is stored in encrypted form on the user's device using enterprise-grade encryption standards. The application implements runtime protections to mitigate tampering or unauthorized access attempts, maintaining data isolation until automatic synchronization with our servers is completed over secure encrypted channels. FORXYA assumes no liability for the loss of local data due to physical destruction, irreparable loss, or OS-level compromise of the device prior to a confirmed successful synchronization. The organization must define internal connectivity policies for their field teams.

Confidentiality

Both parties shall maintain the confidentiality of all non-public information exchanged. FORXYA's architecture enforces this isolation through record-level access controls that technically prevent cross-organizational access. FORXYA personnel have no direct access to any organization's production data; any technical intervention required for support must be explicitly authorized by the organization's administrator and is recorded in the audit system. Communications between all platform components are protected by transport-layer security mechanisms. This confidentiality obligation survives the termination of the service.

Indemnification

The user agrees to indemnify, defend, and hold harmless FORXYA, its directors, employees, and agents from any claim, demand, damage, loss, liability, cost, or expense (including attorney fees) arising from: the user's misuse of the platform; the collection of third-party data in violation of applicable data protection laws; violation of these terms; or any content that the user uploads or processes through the platform that infringes third-party rights.

Severability

If any provision of these Terms of Service is declared invalid, illegal, or unenforceable by a competent court, such invalidity shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely approximates the original intent of the replaced provision.

Entire Agreement

These Terms of Service, together with the Privacy Policy and any specific service agreement entered into between the parties, constitute the entire agreement between the user and FORXYA regarding the use of the platform. This agreement supersedes and replaces any prior understanding, communication, or agreement, whether oral or written, related to the subject matter of these terms.

Changes to Terms

FORXYA may modify these Terms of Service with prior notice. Continued use of the platform after changes are published constitutes acceptance of the modified terms.

Governing Law

These Terms of Service are governed by the laws of Mexico, where FORXYA is headquartered. For users outside Mexico, these terms shall be interpreted consistently with the consumer protection and data protection laws of your local jurisdiction to the extent applicable. For disputes that cannot be resolved amicably, the parties agree to submit them to commercial arbitration under the rules of the Mexico Arbitration Center (CAM). For users in the European Union, nothing in these terms limits your rights under the consumer protection legislation of your country of residence.
